What we do
Whether a company is being formed, restructured or dissolved: the first step is to clarify who decides, who is liable and who answers for what. We work out these points before the first draft contract is written.
In trade and distribution, the same groundwork is needed under different conditions: which form of distribution fits, what belongs in the contract and what applies when the cooperation ends. If a dispute arises between shareholders, we conduct it out of court, in court or in arbitration.
- Company formations: partnerships, commercial partnerships and corporations
- Organisational and structural measures, corporate transformations (Umwandlungen) and the reorganisation of existing companies
- Preparation of and support at shareholders' meetings and general meetings
- Shareholder disputes, out of court as well as before the courts and in arbitration proceedings
- Members of corporate bodies: contracts and questions of liability of managing directors and management board members
- Business sales and business succession, joint ventures and trust arrangements
- Commercial contract drafting, including negotiations with the other side of the market
- Distribution law: commercial agents and authorised dealers, franchising and direct sales, distribution agreements and indemnity claims (Ausgleichsansprüche)
